Alpine Flow provides AI consulting and technology services to businesses, including but not limited to:

- Integrated Workflows: Process mapping, workflow automation, and system integration connecting business tools into seamless pipelines
- AI Workforce Consulting: AI readiness assessments, strategic roadmapping, implementation planning, and ROI analysis
The specific scope, deliverables, timeline, and pricing for any engagement will be defined in a separate service agreement or statement of work ("SOW") between you and Alpine Flow. In the event of a conflict between these Terms and a signed SOW, the SOW shall govern with respect to that engagement.
2. Use of the Site
2.1 Permitted Use
You may access and use the Site for lawful purposes only. You agree to use the Site in accordance with all applicable local, state, and federal laws and regulations.
2.2 Prohibited Conduct
You agree not to:

- Attempt to gain unauthorized access to any systems, networks, or data connected to the Site
- Use automated tools (bots, scrapers, crawlers) to extract content from the Site without written permission
- Transmit viruses, malware, or other harmful code through the Site

- Reproduce, distribute, modify, or create derivative works of Site content without authorization
- Impersonate any person or entity or misrepresent your affiliation with any person or entity
3. Intellectual Property

3.2 Service Deliverables
Ownership of deliverables created during a service engagement (e.g., custom AI agents, workflow automations, strategic roadmaps) will be defined in the applicable SOW. Unless otherwise specified in writing, upon full payment, you will receive a license to use deliverables for your internal business purposes. Alpine Flow retains ownership of all proprietary methodologies, frameworks, tools, and pre-existing intellectual property used in delivering Services.
3.3 Feedback
Any feedback, suggestions, or ideas you provide regarding our Site or Services may be used by Alpine Flow without restriction or obligation to you.
4. User Submissions
When you submit information through our contact form, email, or other channels, you represent that the information is accurate and that you have the right to share it. You grant Alpine Flow a non-exclusive, royalty-free right to use submitted information solely for the purpose of responding to your inquiry and providing Services. We will handle your information in accordance with our Privacy Policy.
5. Consultations and Assessments
Alpine Flow may offer free consultations, workflow audits, or AI readiness assessments. These are provided for informational and evaluation purposes only and do not constitute:

- Legal, financial, or professional advice
- A guarantee of specific results or outcomes
Any formal engagement will require a separate signed agreement outlining scope, pricing, timeline, and terms.
6. Payment Terms
Payment terms, including fees, billing schedules, and accepted methods, will be specified in the applicable SOW or service agreement. Unless otherwise stated: invoices are due within 30 days of issuance; late payments may accrue interest at a rate of 1.5% per month or the maximum rate permitted by law, whichever is lower; and Alpine Flow reserves the right to suspend Services for accounts more than 30 days overdue.
7. Confidentiality
Both parties agree to maintain the confidentiality of any proprietary or confidential information disclosed during the course of an engagement. Confidential information includes, but is not limited to, business processes, customer data, financial information, trade secrets, and technical specifications. Confidentiality obligations survive termination of the relationship for a period of two (2) years unless a longer period is specified in the applicable SOW.
8. Disclaimers
8.1 Site Provided "As Is"
The Site and all content are provided on an "as is" and "as available" basis without warranties of any kind, either express or implied. Alpine Flow disclaims all warranties, including but not limited to implied warranties of merchantability, fitness for a particular purpose, non-infringement, and accuracy of information.
8.2 No Guaranteed Results
While we strive to deliver measurable results, Alpine Flow does not guarantee specific outcomes, revenue increases, cost savings, or performance metrics. Results from AI implementations depend on numerous factors including data quality, business processes, market conditions, and client cooperation. Case studies and performance statistics referenced on the Site are illustrative and may not be representative of all client experiences.
8.3 Third-Party Integrations
Our Services may involve integration with third-party software and platforms (e.g., ServiceTitan, HubSpot, QuickBooks, Slack). Alpine Flow is not responsible for the availability, functionality, security, or terms of service of third-party platforms. Your use of third-party services is governed by their respective terms and policies.
9. Limitation of Liability
To the maximum extent permitted by law, Alpine Flow and its officers, directors, employees, agents, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, business opportunities, or goodwill, arising out of or in connection with your use of the Site or Services, whether based on warranty, contract, tort, negligence, strict liability, or any other legal theory.
In no event shall Alpine Flow's total aggregate liability for all claims arising out of or related to these Terms or any service engagement exceed the total amount paid by you to Alpine Flow in the twelve (12) months preceding the claim.
10. Indemnification
You agree to indemnify, defend, and hold harmless Alpine Flow and its officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of the Site or Services; (b) your violation of these Terms; (c) your violation of any third-party rights; or (d) any content or data you provide to us.
11. Termination
We reserve the right to suspend or terminate your access to the Site at any time, for any reason, without notice. For active service engagements, termination procedures will be governed by the applicable SOW. Upon termination, provisions that by their nature should survive (including intellectual property, confidentiality, limitation of liability, and indemnification) shall remain in effect.
12. Governing Law and Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of the State of Colorado, without regard to its conflict of law provisions. Any disputes arising under or in connection with these Terms shall be resolved exclusively in the state or federal courts located in Denver County, Colorado. You consent to the personal jurisdiction of such courts and waive any objection to venue.
13. Force Majeure
Alpine Flow shall not be liable for any failure or delay in performing its obligations under these Terms or any SOW where such failure or delay results from circumstances beyond reasonable control, including but not limited to natural disasters, acts of government, pandemics, cyberattacks, power failures, or third-party service outages.
14. Modifications to These Terms
We reserve the right to modify these Terms at any time. When we make material changes, we will update the "Last Updated" date at the top of this page. Your continued use of the Site or Services after any changes constitutes acceptance of the revised Terms. We encourage you to review these Terms periodically.
15. Severability
If any provision of these Terms is held to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable while preserving its original intent.

These Terms, together with our Privacy Policy and any applicable SOW, constitute the entire agreement between you and Alpine Flow regarding the subject matter herein and supersede all prior agreements, representations, and understandings.
